DNPA Code of Ethics

Purpose

General Policy Application

Gifts, Favors, and Payments by the Company

Gifts, favors, and payments may be given to others at company expense only if they meet the following criteria:

  • They align with accepted business practices.
  • They are of limited value and cannot be perceived as a bribe or payoff.
  • They comply with applicable laws and ethical standards.
  • Public disclosure would not cause embarrassment to the company.

Payments, commissions, or compensation to associates of customers (or their family members) that are not required by written contract violate company policy.

Gifts, Favors, Entertainment, and Payments Received by Company Associates

Associates must not seek or accept personal gifts, favors, entertainment, or payments that do not serve a legitimate business purpose. The following rules apply:

  • Acceptable Business Courtesies: Associates may accept common courtesies from vendors, including:
    • Business lunches and dinners, occasionally including spouses, if extended by the vendor.
    • Small promotional gifts (e.g., calendars, pens, notepads).
    • Event tickets, provided the vendor is present.
    • Perishable holiday gifts (e.g., hams, cookies, nuts).
  • Restricted Practices:
    • Day outings (e.g., golf, fishing, hunting) require prior approval.
    • Using vendor facilities (e.g., vacation homes) for personal purposes is prohibited unless the vendor is present for the duration of the visit, occurs only once per year, and has company approval.
    • Accepting cash, cash equivalents, or stocks is strictly prohibited.

Conflicts of Interest

Associates must avoid situations that create a conflict between their personal interests and those of the company. Any potential conflict must be disclosed in writing to management. Examples of conflicts include:

  1. Ownership Interests – Holding significant stakes in businesses that compete with or do business with LeagBiz.
  2. Outside Positions – Serving as a director, officer, consultant, or manager for a competitor or vendor without CEO approval.
  3. Third-Party Transactions – Acting as a broker or intermediary in company-related transactions.
  4. Personal Relationships – Any arrangement that could affect objective business decisions.

Confidential Information

Associates must not disclose or misuse confidential company information, including business plans, personnel records, or sensitive data. Unauthorized access or mishandling of such information is subject to disciplinary action, including termination.

Compliance & Enforcement

Violations of this policy will result in administrative disciplinary action or immediate termination. Associates aware of policy violations must report them to management. The company’s leadership is responsible for ensuring compliance.

  2. Respect Company Policies – Your social media activity must align with LeagBiz ethical and professional standards. Discriminatory, harassing, or unlawful content is not tolerated.
  3. Speak for Yourself, Not the Company – If discussing LeagBiz or its business partners, disclose your affiliation and state that your views are personal.
  4. Be Honest and Accurate – Ensure that your statements are truthful. If you make a mistake, correct it promptly.
  5. Respect Laws and Confidentiality – Do not disclose confidential company information or violate copyright and privacy laws.
  6. Report Concerns – If you notice policy violations, report them to HR. Retaliation for reporting concerns is strictly prohibited.
